A. The name of this organization shall be the Brockton Republican City Committee, hereinafter called The Committee.

B. The purpose of The Committee is to promote the principles of the Republican Party, to cooperate in carrying out the programs of the Republican State and Republican National Committees, and to promote the election of Republican candidates.

A. The Committee shall consist of all members of the several Brockton Republican Ward Committees, who shall have been elected at the Presidential Primary, or duly appointed to such Brockton Republican Ward Committees to fill vacancies. Membership in The Committee is contingent upon and concurrent with membership in a Brockton Republican Ward Committee.

In case a Member dies, resigns, cancels, or changes his/her party enrollment, his/her place shall be declared vacant and the vacancy shall be filled at the next regular meeting of the Ward Committee of which he/she was a member.

If any Member changes his/her residence from the Ward in which he/she was elected, or from the City of Brockton, he/she shall cease to be a Member at the end of the calendar year during which said residence is changed, his/her place shall be declared vacant, and the vacancy shall be filled at the next regular meeting of the Ward Committee of which he/she was a member.

B. The existing Committee shall determine the number of members to be elected to the several Brockton Republican Ward Committees at the next Presidential Primary and the Secretary of The Committee shall give notice of the number to be elected to the State Secretary and to the Republican State Committee on or before February 1st of the year in which they are to be elected. That number shall be not less than three (3) nor more than thirty-five (35) for each Ward of the City of Brockton.

C. The Committee may elect Honorary Members from among former Members of The Committee. They shall have all the rights and privileges of Members except the right to vote.

A. The Committee shall within ten (10) days after the 30th day next following the election of its Members, meet and organize by the election of Officers as set forth in Article IV hereinbelow. The Chairman shall first call for the adoption of these Bylaws, as may be amended, by a simple majority vote of those present, notwithstanding the provisions of Articles XII and XIII. Officers shall be elected by ballot in the order listed in Article IV hereinbelow, by a simple majority of the Members present and voting at the meeting, a quorum being present as specified in Article X hereinbelow. If no candidate for an office receives a majority of the votes cast, new votes shall be taken to choose between the two candidates with the largest numbers of votes, until a candidate shall have been elected by a majority of the votes cast. The term of the Officers of The Committee shall be four (4) years and until their successors shall have been elected.

Any Officer of The Committee may be removed from office by a two-thirds (2/3) vote of those present and voting, a quorum being present as defined in Article X below, at any regular or special meeting of The Committee, provided however, that seven (7) days written notice has been sent to all Members that the removal of Officers is to be considered.

B. At its first meeting The Committee shall fix the number of, and elect the members of an Executive Committee, which shall include all of the elected Officers of The Committee, the Chairmen of all of the Brockton Republican Ward Committees, and any other members who may be nominated and elected to the Executive Committee. Officers and Ward Chairmen shall serve as members of the Executive Committee only so long as they hold their respective offices. Upon leaving office, they shall be replaced on the Executive Committee by their successors in office.

C. The Secretary of The Committee shall, within ten (10) days after its organization, file with the State Secretary, with the Brockton City Clerk, and with the Secretary of the Republican State Committee, a list of the Officers and Members of The Committee, together with the addresses and telephone numbers of such Officers. The Secretary shall also file a statement of any changes in the membership of The Committee which have resulted from vacancies in Ward Committees that have been filled.

The Officers of the Brockton Republican City Committee shall consist of a Chairman, a Vice Chairman, a Treasurer, an Assistant Treasurer, a Secretary, a Corresponding Secretary, and such other officers as The Committee may elect.

A. Chairman

The Chairman of The Committee shall, in addition to the duties required by law, preside at all meetings of The Committee and of the Executive Committee, and with the advice of the Executive Committee he/she shall direct the work of The Committee. He/she shall appoint all sub-committees except as otherwise provided in these Bylaws, and shall serve as an ex-officio member of all sub-committees. He/she shall use all necessary assistance subject to the approval of the Executive Committee, to accomplish the work of The Committee, and he/she shall direct the functioning of The Committee and direct the calling of regular meetings of The Committee.

B. Vice Chairman

The Vice Chairman shall preside at all meetings of The Committee in the absence of the Chairman, and shall perform all duties and have all powers of the Chairman in case of the temporary absence or incapacity of the Chairman.

C. Secretary

The Secretary shall keep a record of the proceedings of The Committee and of the Executive Committee, and shall notify each Member by mail of each meeting of The Committee in accordance with Article IX. The Secretary shall perform all other duties required by law, assigned by the Chairman, or otherwise herein provided.

D. Treasurer

The Treasurer shall have custody of all funds belonging to The Committee, pay all written orders provided for in the rules and consistent with law, and shall prepare, procure, and preserve all vouchers, receipts, and records required by law. All orders on the Treasurer shall bear the signature of the Chairman. The Treasurer shall submit a report to each regular meeting of The Committee and to the Chairman or Executive Committee at any time when either shall so request, and shall submit all reports required by law or by the Massachusetts Republican State Committee.

E. Assistant Treasurer

The Assistant Treasurer shall perform the duties and have the powers of the Treasurer in his/her absence or incapacity, and shall have such other duties as may be assigned by the Treasurer.

F. Corresponding Secretary

The Corresponding Secretary shall perform the duties and have the powers of the Secretary in his/her absence or incapacity, and shall have such other duties as may be assigned by the Secretary or the Chairman.

The Chairman shall appoint an Auditor, who shall periodically, or at the request of the Chairman, but at least once each calendar year, audit the Treasurer's books and shall report his/her findings to the Executive Committee and to The Committee.

The Nominating Committee shall consist of one member from each Brockton Republican Ward Committee, appointed by the Chairman after the election of Members in each Presidential Primary year and prior to the election of Officers as set forth in Article III-A above, to serve for a period of four (4) years and until their successors are appointed. The Nominating Committee at its first meeting shall elect a Chairman. The Nominating Committee shall submit to The Committee a slate of candidates for its consideration for all elective offices of The Committee to be filled at any regular or special election of Officers. Such slates of candidates may include more than one candidate for each office to be filled, and do not in any way preclude nominations for these offices from the floor of the meeting of The Committee. The slate of candidates shall be presented to The Committee for its consideration in a timely manner prior to each election of officers.

The Chairman at any time may appoint sub-committees of his/her own selection to accomplish the work of The Committee pursuant to Article I-B of these Bylaws, and shall report the appointment of such committees and their memberships at the meeting of The Committee next following such appointment.

The Executive Committee shall supervise the work of The Committee. Between meetings of The Committee, so far as it is consistent with law and with the provisions of these Bylaws, it shall exercise all the powers of The Committee. It shall keep The Committee fully informed of all actions taken by it between meetings of The Committee. It shall serve as an advisory committee on all matters referred to it by the Chairman.

The Chairman shall direct the calling of not less than four (4) meetings of The Committee each year, and may call as many meetings beyond this number as he/she deems necessary. Notice of each meeting of The Committee shall be given by mail at least seven (7) days before the date of such meeting to each Member at his/her last known address. Robert's Rules of Order Revised shall determine parliamentary procedure. Extraordinary Meetings of The Committee may be called by written instructions to the Secretary, signed by any five (5) members of the Executive Committee, to give notice to the Members of such meeting as prescribed above.

Ten percent (10%) of the elected membership of The Committee shall constitute a quorum at any meeting called in accordance with Article IX above. A majority of those present and voting, if a quorum is present, shall be sufficient to pass all matters unless otherwise provided in these Bylaws.

No Member or Associate Member of The Committee shall sponsor or endorse any candidate or otherwise in any way serve the interest of any political party other than the Republican Party in connection with any partisan election or primary involving or affecting the City of Brockton. After candidates in any election involving or affecting Brockton have been determined through primaries or other lawful procedure, every Member or Associate Member of The Committee shall give his/her support to the entire Republican slate of candidates. No Member or Associate Member shall publicly endorse any candidate in a nonpartisan election if such endorsement violates the purpose of The Committee as set forth in Article I-B above.

These Bylaws may be suspended or amended at any regular meeting of The Committee by two-thirds vote of those present and voting, a quorum being present, and notice of the proposed action having been included in a written notice of the meeting sent to each Member of The Committee at least seven (7) days prior to the meeting at which the proposed action is to be taken.

Notwithstanding the provisions of Article XII, these Bylaws shall take effect sixty (60) days after being adopted by two-thirds vote of those present at a regular Committee meeting or at a special meeting called for the purpose, provided all the Members of The Committee have been notified of the intended adoption of new Bylaws in the notice of the meeting sent to them pursuant to Article IX. Copies of the proposed Bylaws will be made available to all members of the Executive Committee at least seven (7) days prior to the meeting of The Committee at which they will be voted upon.
